These Terms and Conditions (“Agreement”) govern your use of the services provided by Itito Strategies LLC (“Company,” “we,” or “us”). By subscribing to our services, you agree to be bound by this Agreement.

Itito Strategies LLC provides AI-driven automation tools, loyalty program management, and marketing strategy solutions (collectively, the “Services”) to support independent businesses in improving customer acquisition, retention, and engagement.

To access and use the Services, you agree to:

1. Provide accurate and complete business information, including your EIN, domain credentials, and other setup details required for service activation.

2. Ensure that all materials and information you provide comply with applicable laws and regulations. Failure to provide accurate information may result in delays or interruptions in service delivery.

Payment Terms

1. Subscription Fees: The Services operate on a monthly subscription basis, subject to an initial setup fee of $200.

2. Payment Due Dates: Subscription fees must be paid in full by the due date specified in your invoice.

3. Late Payments: Late payments may result in the suspension of Services until the account is brought current.

4. Cancellations: To cancel your subscription, you must provide written notice at least seven (7) days before the next billing cycle

All fees are non-refundable.

Itito Strategies LLC provides tools and strategies to support your marketing efforts. However:

1. No Guarantees: We do not guarantee specific outcomes, including but not limited to increased customer retention, revenue, or reviews.

2. Performance Disclaimer: The effectiveness of our tools depends on how they are implemented and used by the client.

We provide customer support to help you effectively use the Services.

1. While we strive to respond promptly, we cannot guarantee immediate responses outside of regular business hours.

2. Support is available through [email, phone, chat, etc.].

Data Storage: All client and customer data are securely stored within the software platform, accessible only to authorized account holders.

Data Sharing: We do not sell or share your data with third parties.

All tools, templates, automations, and AI-driven resources provided by Itito Strategies LLC are proprietary and remain the exclusive property of the Company. Clients may use the tools and resources for business operations but may not transfer, copy, or replicate them for purposes outside of the Services provided.

Either party may terminate this Agreement with a minimum of seven (7) days’ notice.

1. Upon termination, clients may request access to their customer lists.

2. All tools, software, and intellectual property provided by the Company will remain the property of the Company and cannot be transferred.

The Company is not liable for any losses arising from:

• Misuse of the tools provided.

• System failures or downtime.

• Failure to achieve desired results, including but not limited to increased customer retention or revenue.

The Company disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.

You agree to indemnify and hold harmless Itito Strategies LLC, its employees, and affiliates from any claims, liabilities, damages, or expenses arising from:

1. Your use of the Services.

2. Violations of this Agreement or applicable laws.

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan. Any disputes arising under this Agreement shall be resolved exclusively in the courts of Michigan

We reserve the right to amend these Terms and Conditions at any time. Clients will be notified of any changes, and continued use of the Services constitutes acceptance of the revised terms.
